1) Who We Are and Scope

These Terms of Use (“Terms”) govern your access to and use of the learning portal and community features available at https://monkeypod.app and through our branded mobile apps (the “App”) (together, the “Services”). The Services are operated by Otium Automation Agency Inc. dba Monkeypod Marketing (“Monkeypod,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

2) Non-Affiliation

Monkeypod, monkeypodmarketing.com, and learn.monkeypodmarketing.com are not affiliated with, endorsed by, or connected to Keap (formerly Infusionsoft) or any other third party referenced within the Services.

3) Eligibility and Accounts

You must be at least 16 years old to use the Services. You are responsible for safeguarding your account credentials and for all activity under your account. Notify us immediately at [email protected] if you suspect unauthorized use.

4) Community Guidelines & Acceptable Use

To keep the learning community useful and safe, you agree not to:

• harass, threaten, or impersonate others;

• upload content that is unlawful, infringing, defamatory, or invasive of privacy;

• attempt to access non-public features, interfere with the Services, or reverse engineer any part of the Services;

• upload malware or attempt to circumvent security measures;

• use the Services in violation of applicable laws.

We may remove content or suspend access that violates these Terms.

5) Your Content & License

You retain ownership of content you submit (posts, comments, profile details, uploads) (“User Content”). You grant Monkeypod a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display your User Content solely to operate and provide the Services (e.g., to show your posts in the community, deliver course discussions, generate backups, and moderate content).

You represent that you have the necessary rights to submit User Content and that it does not violate the rights of others.

6) Intellectual Property

The Services, including text, graphics, logos, and software, are owned by or licensed to Monkeypod and protected by law. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works from the Services. All rights not expressly granted are reserved.

7) Third-Party Services

The Services may interoperate with or link to third-party services or platforms (for example, video hosting, discussion tools, or sign-in providers). We are not responsible for third-party services or their content, terms, or privacy practices.

8) No Professional Advice

Content in the Services is provided for educational purposes only. It is not legal, financial, medical, or other professional advice. You should obtain professional advice where appropriate.

9) Disclaimer of Warranties

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free.

10) Limitation of Liability

To the maximum extent permitted by law, Monkeypod will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of data or profits, arising from or related to your use of the Services. Our total liability for any claim will not exceed the amount you paid (if any) for access to the portion of the Services giving rise to the claim, or CAD $100, whichever is greater. Some jurisdictions do not allow certain limitations, so parts of this section may not apply.

11) Indemnity

You will indemnify and hold harmless Monkeypod and its officers, directors, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your User Content, your use of the Services, or your violation of these Terms or applicable law.

12) Changes to the Services and to These Terms

We may update the Services and these Terms from time to time. The “Last Updated” date shows the latest change. Continued use of the Services means you accept the updated Terms.

13) Termination

We may suspend or terminate access to the Services at any time if we believe you have violated these Terms or to protect the Services or users. You may stop using the Services at any time.

14) Governing Law & Venue

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction and venue of the provincial or federal courts located in Ontario, Canada for any dispute arising from the Services or these Terms.
